PROPOSED CONSTITUTION FOR THE AUSTRALIAN BRANGUS CATTLE ASSOCIATION LIMITED
The ABCA recently received advice that our existing memorandum of association and articles of association were created prior to the Corporations Act 2001 and are no longer up to date with modern governance standards.
The ABCA Board of Directors has worked with solicitor Cameron Cowley, Moin Morris Schaefer to create a draft constitution which consolidates the memorandum of association and articles of association.

Information Memorandum
This document was prepared by Moin Morris Schaefer and is designed to explain the purpose of the company adopting a new constitution, and to explain the basic terms of the constitution as it is not practical to explain the new document on a line by line basis.
Proposed Constitution
This document is the draft constitution that the Board recommend the ABCA membership vote to adopt at the 2021 ABCA Annual General Meeting which will take place at 8:30am EST, Monday 11th October 2021 in the Function Room, CQLX, 16 Saleyards Rd, Gracemere QLD 4702.
We encourage members that have any questions and/or feedback regarding the Proposed Constitution to submit it formally, in writing to the ABCA office. The questions and/or feedback will be passed on to the Moin Morris Schaefer and will be actioned.
Due to deadlines around the circulation of information for the upcoming AGM, all questions and/or feedback regarding the Proposed Constitution is required before COB, 31 August 2021.
